Terms of Use

Private AI Ltd — Website Terms of Use

Your use of the Website at privateai.scot is subject to these Terms of Use. Please read them carefully. They include important provisions that affect your legal rights, including a limitation of our liability (Clause 9) and restrictions on the use of the content of the Website (Clauses 4 and 5).

1. About these Terms

These Terms of Use govern your access to and use of the website published at privateai.scot, including any sub-domains and any pages, content, downloadable materials, contact forms or other features made available through it (the “Website”).

The Website is operated by Private AI Ltd, a company incorporated in Scotland under company number SC881079, whose registered office is at 48 West George Street, Office 2/3, 2nd Floor, Glasgow, G2 1BP (“Private AI”, “we”, “us” or “our”). Private AI trades under the name “Private AI”.

Your use of the Website is subject to these Terms of Use. By accessing, browsing or otherwise using the Website you confirm that you have read these Terms of Use and that you accept them. If you do not accept these Terms of Use, you should not use the Website.

Personal data submitted to us via the Website, or otherwise collected through your use of the Website, is processed in accordance with our Privacy Notice. The Privacy Notice is a separate transparency document published under our obligations as a data controller; it is not incorporated into these Terms of Use as a contractual term.

2. Who the Website is for

The Website is published for the benefit of professional services firms, regulated entities, prospective clients, partners, journalists, and other commercial counterparties seeking to evaluate Private AI’s services. It is not directed at consumers within the meaning of the Consumer Rights Act 2015.

By using the Website on behalf of an organisation, you confirm that you have the authority to bind that organisation to these Terms of Use.

3. The Website is informational

The Website is provided for general information about Private AI, its services, its technical and commercial approach, and developments relevant to the markets it serves. The content of the Website (including, without limitation, articles, insights, case studies, technical descriptions, regulatory commentary, pricing references, diagrams and downloadable materials) is published for information only and does not constitute professional, legal, regulatory, compliance, financial, investment, tax, clinical or technical advice.

Nothing on the Website is intended to create a solicitor-client relationship, an adviser-client relationship, or any other professional advisory relationship between you and Private AI. Laws, regulations and regulator guidance evolve, and any statements on the Website about them reflect our position at the date of publication. You should verify the current position with qualified professional advisers before relying on any specific statement and should not act, or refrain from acting, on the basis of any content on the Website without first obtaining appropriately qualified professional advice that takes account of your specific circumstances.

Where the Website references third-party laws, regulations, standards, frameworks, products, services or organisations, those references are made for descriptive and educational purposes and do not imply endorsement, affiliation, certification, accreditation or partnership unless expressly stated.

The Website does not set cookies on visitors’ devices and does not deploy advertising or behavioural-tracking technologies, as described further in our Privacy Notice.

4. Intellectual property

Unless expressly stated otherwise, all intellectual property rights in the Website and in all content made available on or through the Website (including text, structure, layout, graphics, diagrams, logos, trade marks, photographs, code, downloadable documents and the selection and arrangement of all of the foregoing) are owned by Private AI or its licensors. All such rights are reserved.

You are granted a limited, non-exclusive, non-transferable, revocable licence to view the Website on a device under your control and to print or download extracts of pages from the Website strictly for your own internal, non-commercial business reference, provided that you do not modify the materials and that you keep all copyright and other proprietary notices intact.

No other licence or right of any kind is granted to you. Except to the extent expressly permitted above or by applicable law, you must not copy, reproduce, republish, frame, distribute, transmit, sell, license, exploit commercially, modify, translate, create derivative works from, or otherwise use any content from the Website without our prior written consent.

“Private AI”, “Private AI”, “privateai.scot”, the turtle device, and the visual identity of the Website are trade marks of Private AI Ltd (whether registered or unregistered). You acquire no rights in any such marks by virtue of your use of the Website.

5. Prohibited uses

You agree not to use the Website, and not to permit any other person to use the Website, in any of the following ways:

  • for any purpose that is unlawful under the laws of Scotland, of the wider United Kingdom, or of any other applicable jurisdiction, or in any manner that infringes the rights of any third party;
  • to gain or attempt to gain unauthorised access to the Website, its servers, or any associated systems, networks, accounts, databases or infrastructure, or to circumvent or attempt to circumvent any technical, security, authentication, or access-control measures applied to the Website;
  • to introduce, transmit or facilitate any virus, worm, trojan, ransomware, spyware, logic bomb, time bomb, keystroke logger, harmful code, or other malicious software, or to attempt to disrupt, degrade, or impair the availability, integrity, or performance of the Website;
  • to conduct any denial-of-service, distributed denial-of-service, brute-force, credential-stuffing, vulnerability-probing, penetration-testing, fuzzing, or similar activity against the Website without our prior written consent;
  • to engage in any form of automated extraction, harvesting, indexing, mining, replication, copying or systematic retrieval of any part of the Website (commonly referred to as “scraping”, “crawling”, “spidering” or “mirroring”), whether by software, script, bot, crawler, or any other automated or semi-automated means, except for indexing by general-purpose internet search engines acting in good faith and in accordance with the Website’s robots.txt file at the time of access;
  • to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, methodology, or underlying ideas of any software, scripts, or technical materials made available through the Website, except to the extent that applicable law permits and requires that such acts cannot be lawfully prohibited;
  • to send unsolicited commercial communications, marketing material, sales pitches, recruitment approaches, or other bulk communications through any contact form, email address, or other communication channel made available on the Website;
  • to misrepresent your identity, authority, or affiliation, including by impersonating Private AI, its officers or employees, its partners, its clients, or any other person, or by submitting false or misleading information through any form on the Website;
  • to use the Website in any way that brings, or is likely to bring, Private AI into disrepute, or that causes or is reasonably likely to cause damage to our reputation, business, or legitimate interests; or
  • to use the Website for any purpose other than the purposes for which it has been made available, namely the lawful and good-faith evaluation of, and communication with, Private AI.

Breach of this Clause 5 may constitute a criminal offence under the Computer Misuse Act 1990, an infringement of intellectual property rights, or both. We reserve all rights and remedies available to us under Scots law and any other applicable law, including the right to seek interdict, interim interdict, specific implement, damages, an account of profits, and an order for the destruction of infringing materials, without the necessity of proving actual loss.

6. Restriction on use for artificial intelligence training and text and data mining

We expressly reserve all our rights in the content of the Website, including any rights under sections 29A and following of the Copyright, Designs and Patents Act 1988 and any equivalent or successor rights.

You must not use any part of the Website (including its text, code, structure, images, downloadable materials, or aggregated metadata) to train, fine-tune, evaluate, benchmark, ground, retrieve-augment, distil, or otherwise develop or improve any machine learning model, large language model, generative AI system, or other artificial intelligence system, whether for commercial or non-commercial purposes, and whether by you or by any third party acting on your behalf, without our prior, specific, written consent.

The presence of content on the Website does not constitute a licence or other permission to use that content for any AI development, training, evaluation, or benchmarking purpose. This restriction applies in addition to, and not instead of, any rights we may have under intellectual property law, contract, or otherwise. You may not circumvent this restriction by relying on the absence of a machine-readable opt-out signal, by treating content as “publicly available”, or by routing access through a third party.

7. Communications submitted through the Website

Where you submit information to us through a contact form, an email link, or any other communication channel made available on the Website, you confirm that the information you submit is accurate, complete, and not misleading, and that you are entitled to submit it. We will process any personal data you submit in accordance with our Privacy Notice and applicable data protection legislation, including the UK General Data Protection Regulation, the Data Protection Act 2018 and the Data (Use and Access) Act 2025.

Unless we have a separate written agreement with you to the contrary (including, without limitation, a mutual non-disclosure agreement), communications you submit through the Website are not treated as your confidential information, and you should not submit information that you wish to remain confidential through unsecured channels. We will, however, handle communications in accordance with our internal information-handling practices and applicable data protection law.

You agree not to submit through the Website any material that is unlawful, defamatory, obscene, threatening, harassing, infringing of third-party rights, or otherwise objectionable, or any material containing malicious code.

8. Availability and changes to the Website

The Website is made available on an “as is” and “as available” basis. We do not warrant that the Website will be uninterrupted, error-free, secure, free from harmful components, or that defects will be corrected. We may at any time, without notice and in our sole discretion, suspend, withdraw, discontinue, modify, restrict, or change the Website or any part of it, in whole or in part, temporarily or permanently.

We are not liable to you or to any third party for any modification, suspension, withdrawal, restriction, or discontinuance of the Website or any feature of it.

9. Disclaimers and limitation of liability

The Website is provided to you free of charge for informational purposes only. The provisions of this Clause 9 reflect that the Website is published as an informational resource and that any commercial relationship between you and Private AI is governed by a separate written contract.

Nothing in these Terms of Use limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded under applicable law.

Subject to the preceding paragraph, and to the maximum extent permitted by applicable law:

  • all warranties, representations, conditions and other terms of any kind, whether express or implied by statute, common law, custom, course of dealing, or otherwise, in respect of the Website and its content are excluded;
  • we do not warrant the accuracy, completeness, currency, reliability, suitability, or fitness for any particular purpose of any content on the Website, and you rely on such content entirely at your own risk;
  • we shall not be liable to you for any loss of profit, loss of revenue, loss of business, loss of opportunity, loss of contracts, loss of anticipated savings, loss of goodwill, loss of reputation, loss of or corruption of data, or for any indirect, special, or consequential loss or damage, however arising, whether in contract, delict (including negligence), breach of statutory duty, or otherwise, in connection with your use of, or inability to use, the Website or any of its content;
  • our aggregate liability to you in connection with your use of the Website, whether in contract, delict (including negligence), breach of statutory duty, or otherwise, and whether arising from one or a series of related events, shall not exceed one hundred pounds sterling (£100), reflecting the free, informational nature of the Website.

Where you receive services from Private AI under a separate written contract, the limits and exclusions of liability set out in that contract govern those services and are not modified by this Clause 9. The limits in this Clause 9 apply solely to your use of the Website.

10. Your obligations in respect of intellectual property and the AI training restriction

You agree to indemnify and keep us indemnified against any losses, damages, costs, claims, and reasonable expenses (including reasonable legal fees) suffered or incurred by Private AI as a direct result of your breach of Clause 4 (Intellectual property), Clause 5 (Prohibited uses) or Clause 6 (Restriction on use for artificial intelligence training and text and data mining), or your infringement of any third-party intellectual property right in connection with your use of the Website.

This indemnity is limited to losses arising from the matters listed in this Clause 10 and does not extend to your general use of the Website.

11. Access restrictions

We reserve the right to apply technical or operational measures to restrict, throttle, or block access to the Website (including, without limitation, by blocking IP addresses or user agents) where we reasonably believe such measures are necessary to protect the Website, our other users, or any third party from breaches of these Terms of Use or from unlawful or harmful activity.

12. Third-party links and references

The Website may contain links or references to third-party websites, products, services, materials, regulators, frameworks or standards. Those links and references are provided for convenience and information only. We do not endorse, monitor, control, or accept responsibility for the content, availability, security, privacy practices, or terms of any third-party website or resource.

If you choose to follow a link to a third-party website or to use a third-party product or service, you do so at your own risk and subject to that third party’s terms and policies.

You may link to the home page of the Website (privateai.scot) provided that you do so in a way that is lawful, fair, and not damaging to our reputation, that does not suggest any form of association, approval, or endorsement that does not exist, and that does not frame the Website or otherwise present it as part of another site. We reserve the right to withdraw permission to link to the Website at any time.

13. Accessibility

We are committed to providing an accessible website and work towards alignment with the Web Content Accessibility Guidelines (WCAG) 2.2 Level AA. If you encounter content on the Website that you find difficult to access, please contact us at team@privateai.scot, and we will use reasonable endeavours to make the information available in an alternative accessible format.

14. Reporting concerns

If you become aware of any material on the Website that you believe to be unlawful, infringing of your rights, or otherwise contrary to these Terms of Use, or if you wish to report misuse of the Website by a third party, please contact us at team@privateai.scot with sufficient detail to allow us to investigate.

15. Changes to these Terms of Use

We may amend these Terms of Use from time to time to reflect changes in our services, in applicable law, or in good practice. The current version of these Terms of Use is the version published at privateai.scot/terms at the time you access the Website, and is identified by the “Last updated” date shown at the top of this page. By continuing to use the Website after any amendment, you accept the amended Terms of Use. If you do not agree to the amended Terms of Use, you must stop using the Website.

16. General

16.1 Severability

If any provision (or part of a provision) of these Terms of Use is found by any court or competent authority to be invalid, unenforceable, or illegal, the other provisions shall remain in force. If any invalid, unenforceable, or illegal provision would be valid, enforceable, and legal if some part of it were deleted or modified, the provision shall apply with the minimum modification necessary to make it legal, valid, and enforceable.

16.2 No waiver

No failure or delay by us to exercise any right or remedy under these Terms of Use shall operate as a waiver of that or any other right or remedy, nor shall any single or partial exercise prevent any further exercise.

16.3 No partnership or agency

Nothing in these Terms of Use is intended to, or shall be deemed to, establish any partnership, agency, joint venture, or employment relationship between you and Private AI.

16.4 Assignment

You may not assign, transfer, sub-contract, or otherwise deal with any of your rights or obligations under these Terms of Use without our prior written consent. We may assign or transfer our rights and obligations under these Terms of Use at any time without notice.

16.5 Third-party rights

These Terms of Use do not confer any rights on any person other than you and Private AI. The Contracts (Rights of Third Parties) Act 1999 does not apply to these Terms of Use.

16.6 Entire agreement

These Terms of Use constitute the entire agreement between you and Private AI in relation to your use of the Website, and supersede any prior agreement, understanding, or arrangement between you and Private AI in relation to it. This Clause does not affect any separate written contract under which we provide services to you, which is governed by its own terms. Our Privacy Notice is a separate transparency document published under data protection law and is not part of this agreement.

16.7 Language

These Terms of Use are written, and shall be interpreted, exclusively in the English language. Any translation provided for convenience does not have legal effect.

17. Governing law and jurisdiction

These Terms of Use, and any dispute, claim, or non-contractual obligation arising out of or in connection with them or their subject matter, formation, or existence, are governed by, and shall be construed in accordance with, the laws of Scotland.

You and Private AI irrevocably agree that the Scottish courts shall have exclusive jurisdiction to settle any dispute, claim, or non-contractual obligation arising out of or in connection with these Terms of Use or their subject matter.
